- Law - Negotiated and documented in excess of $300 million of equity, $20 million in and real estate leases in 11 jurisdictions. Negotiated and documented all contractual relationships with strategic partners.
- Procurement - Managed contracting for all products and services to establish 11 IDCs. Had responsibility for expenditures in excess of $200 million. Directed development of all company forms and procurement process.
- Risk Management - Established company's insurance program including acquisition of E & O insurance for start-up venture. Developed contractual risk mitigation and dispute resolution processes and procedures.
- Tax - Established entity structure and state and local tax strategy to minimize tax liabilities.
- Wind Up Team – Led operational team in wind-up of company, including the renegotiation and termination of loans, leases and other liabilities. Disposed of capital assets. Successfully avoided bankruptcy filing.
HALL & EVANS, LLC (1972-2000)
- Firm Administration - CFO and Member of Executive Committee for 12 years. Responsible for computerization of the firm's billing systems, accounting system and secretarial and legal functions, purchasing of capital items, negotiation of leases and banking relationships.
- Departmental Leadership - Head of commercial practice group of the firm, leading both transactional and commercial litigation practice areas, which handled matters in banking, mergers & acquisitions, real estate, estate planning & probate, tax, bankruptcy, director and officer responsibility, trademark and copyright and general commercial litigation.
- Practice focus - mergers and acquisitions, entity organization and reorganization, corporate taxation, ownership and management succession planning and real estate leasing. Industries: cable television, cellular telephony, manufacturers, design professionals, accounting firms, oil & gas service companies, public relations companies, consumer products companies, software companies and construction companies.
